This is a working draft, not final legal advice. It's written in good faith to reflect the product and compliance decisions behind KidCommerce (see the internal MVP handoff brief), but it has not been reviewed by an attorney. Have qualified counsel — ideally with COPPA, GLBA, and custodial-account experience — review this before it governs real accounts.

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and KidCommerce Corporation, a Wyoming corporation ("KidCommerce," "we," "us"). By creating an account, you accept these Terms and our Privacy Policy, including the Children's Privacy Notice within it. If you don't agree, don't create an account.

2. Eligibility & Account Structure

  • You must be at least 18 years old and the parent or legal guardian of any child you add to your account to create a KidCommerce account.
  • Every child profile lives under a parent account. Children do not independently register, agree to these Terms, or manage billing — you do, on their behalf, until applicable law or our account-transition process (not yet built) says otherwise.
  • You're responsible for the accuracy of the information you provide about yourself and your children, and for keeping your login credentials and any PIN you set for a child confidential.

3. What KidCommerce Is (and Isn't)

KidCommerce is an educational technology platform: an age-adaptive financial-literacy curriculum, an AI learning companion, and a task marketplace that pays out KA$H and Koins (see Section 6) for completed lessons and approved real-world tasks.

KidCommerce is not a bank, broker-dealer, investment adviser, money transmitter, or insurer, and we never hold, custody, or move your or your child's money. Any real financial account you choose to open (a savings account, custodial brokerage account, 529 plan, or custodial IRA) is opened and held directly with a licensed third-party institution you select. Where our portal shows account balances, that information is a read-only summary pulled with your authorization (via Plaid or a similar service, once that integration is live) — we cannot initiate transfers, withdrawals, or trades on any linked account.

4. No Investment Advice

The AI learning companion teaches general financial concepts and analysis frameworks. It does not provide personalized investment advice, does not recommend specific stocks, funds, or other securities, and does not guarantee any investment outcome or rate of return — for your child's real accounts or for KA$H/Koins. Decisions about real money, including what (if anything) to invest in, are yours and your child's to make, generally with the help of a licensed financial professional of your choosing.

5. Subscription, Billing & Cancellation

  • Pricing is $9.95/month for your first child and $6.95/month for each additional child on the same family account, billed monthly until canceled.
  • You can cancel anytime from your portal. Cancellation stops future billing; it never affects real savings, brokerage, 529, or IRA balances at your chosen institutions — those are yours regardless of your KidCommerce subscription status.
  • We may change pricing with notice before it takes effect on your next billing cycle.

6. KA$H and Koins

KA$H and Koins are in-app engagement rewards for finishing lessons and completing approved tasks. They are not real currency, have no cash value, cannot be redeemed for money or goods outside KidCommerce, are not a security or a cryptocurrency, and are not transferable between accounts or to any other person.

If you cancel your subscription: KA$H balances are preserved indefinitely and remain available if you resubscribe. Koins become unavailable after a 90-day grace period following cancellation, but are automatically restored if you resubscribe within or after that window — canceling never permanently forfeits either balance.

7. Parental Responsibility & Supervision

You are responsible for supervising your child's use of KidCommerce, for reviewing and approving (or rejecting) tasks before any KA$H/Koins payout occurs, and for deciding when and whether a child under our standard starting age participates in lessons — that choice is explicitly yours to make, at any time, from your portal. For children too young to meaningfully participate, KidCommerce provides parent-facing content and a place to log savings you set aside on their behalf; we are not a party to how you manage that money.

8. Acceptable Use

Don't misuse the platform: no sharing accounts outside your own family, no attempting to circumvent age-band content controls or parental approval steps, no using the task marketplace or AI companion for anything unlawful, abusive, or that puts a minor at risk, and no scraping, reverse-engineering, or interfering with the service's normal operation.

9. Intellectual Property

The curriculum, AI companion, software, and KidCommerce branding are owned by KidCommerce or its licensors. You get a limited, non-transferable license to use them for your family's personal, non-commercial use. You retain ownership of information you and your child provide to us; by providing it, you let us use it to operate and improve the service as described in our Privacy Policy.

10. Disclaimers & Limitation of Liability

The service is provided "as is." We disclaim all warranties, express or implied, to the fullest extent the law allows. We are not liable for the performance of any third-party institution, Plaid-style account-linking service, or payment processor, nor for investment losses, since we never provide investment advice or hold your funds. To the fullest extent permitted by law, KidCommerce's total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

11. Indemnification

You agree to indemnify and hold KidCommerce harmless from claims arising out of your breach of these Terms, your misuse of the service, or content or information you or your child submit.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except where your state's consumer-protection laws require otherwise. [Placeholder: whether disputes are resolved by binding arbitration, a specific court venue, or otherwise is a decision for counsel, particularly given customers may be located in states with their own protective requirements for consumer and children's-service agreements.]

13. Changes to These Terms

We'll notify you before a material change takes effect and ask you to re-accept the current version, the same way you accepted these Terms at signup.

14. Termination

You can close your account anytime. We may suspend or terminate accounts that violate these Terms, with notice where practical. Closing an account stops the subscription and removes portal access; it does not affect real accounts held at outside institutions.
